Key takeaways
- Define how the developer will work before selecting a contract. Independent delivery and an ongoing role under managerial direction need different assessments in Romania.
- A gem migration needs an agreed compatibility target, regression tests and a handover boundary. A deadline alone does not establish independent status.
- Review code acceptance and economic copyright separately. A merged pull request or paid invoice does not establish the required rights agreement.
- Compare scoped budgets: deliverable fees and contractor administration on one side; salary, employer obligations and employment administration on the other. Include internal time and unresolved charges.
A gem migration and a continuing product role need different arrangements
Suppose a Ruby team commissions a hypothetical gem migration: preserve specified public interfaces, support agreed Ruby versions, pass a regression suite and hand over the changes with documentation. The benefit of independent delivery is a defined output to accept. Later feature requests or continuing maintenance need separate terms. A continuing employee role provides continuity for an evolving backlog under team direction, with employer obligations and an employment process to establish.
Before deciding to hire contractors in Romania, define the scope, the developer’s actual autonomy and the handover you expect. Who decides the working method and schedule? Does the developer deliver an agreed migration, or follow a manager’s changing assignments throughout each week?
Document what happens after acceptance. An independently scoped migration might include a limited defect-correction period, with new interfaces priced separately. If the team later expects ongoing backlog work, reassess the relationship before extending it. Technical review and a fixed deadline can accommodate software delivery using either model; neither establishes employment status alone. The contract and day-to-day practice must describe the same arrangement.
Romanian status depends on the actual working relationship
Romania’s Labour Code defines employment through work performed by a natural person for and under an employer’s authority in exchange for salary. A manager assigning continuing tickets and directing daily work raises different questions from a supplier agreeing to deliver a specified migration.
PFA means an authorized natural-person economic undertaking without legal personality. SRL denotes a limited-liability company. These are different supplier forms, so ask which one will sign the agreement and analyze that arrangement accordingly.
ANAF, Romania’s tax authority, describes in its guidance on independent activity a four-of-seven test for natural-person independent activity. Its criteria address matters including autonomy over working arrangements, multiple clients, business risk and business assets. Check the current application to the developer’s circumstances. The fiscal test does not provide a mechanical employment verdict, and it is not a checklist to apply unchanged to an SRL supplier.
If the intended work requires an employment relationship, identify the lawful employer and the Romanian employment and payroll processes before onboarding. Contractor document collection and invoice approval address contractor administration; they do not establish an employment route. Short duration also does not resolve the question: Romania permits fixed-term employment in legally specified circumstances.
Acceptance tests and code rights belong in separate checks
For the hypothetical gem migration, use a delivery checklist that the engineering lead can inspect:
- Compatibility: name the supported Ruby versions, public methods and integration interfaces covered by the migration.
- Acceptance: agree on regression tests, expected results and documentation, including any known failures excluded from scope.
- Existing components: inventory pre-existing code and dependencies, then review the permissions needed for their intended use.
- New code: specify the economic rights required and review the written assignment and any supplier-to-client chain.
- After handover: define defect correction, separately commissioned changes, documentation delivery and access removal.
Use this checklist to agree on engineering and contract requirements; obtain a separate license review where needed. It is not a prescribed Romanian document template. Passing a test suite answers whether the code meets the acceptance criteria; the agreement answers which rights the client receives.
Romanian copyright law gives the employer economic copyright in software created by employees while performing their duties or following employer instructions, unless a contrary clause applies. That qualified default does not automatically establish a contractor client’s ownership or an onward transfer to another company.
For contractor code, review the agreement’s identified rights, permitted uses, duration, extent and remuneration, with written evidence of the assignment. Neither repository access, a merged pull request nor payment of an invoice alone establishes the required rights agreement. Keep the accepted commit and its relevant rights documents together.
Compare three-month budgets with the missing costs visible
The following examples are hypothetical budgeting exercises in euros. Every amount and hourly rate is an assumption. These figures are budgeting inputs, not Romanian Ruby wages, vendor quotes or a client case. The contractor example buys a defined migration; the employee example buys a continuing role with different control and continuity. Their subtotals cannot demonstrate savings.
Independent migration: assumed budget
- Deliverable fee: €12,000.
- Separately budgeted legal and code-rights review: €600. Confirm any additional rights-related provider charge.
- Tools: €150.
- Change and exit reserve: €1,000, covering assumed extra work or handover costs.
- Cash subtotal for these assumed items: €13,750.
- Provider service fee: add the applicable quoted fee using its confirmed assessment base and conditions.
- Irrecoverable value-added tax (VAT): add the applicable amount, after checking the treatment of each relevant charge.
- Internal approval time, separately estimated: 12 hours × €50 = €600.
The cash subtotal excludes provider fees, any additional rights charge and irrecoverable VAT. Confirm any currency-conversion or bank costs in the quote. If VAT is recoverable, show it separately as a cash-flow requirement; do not silently assume recovery or a cross-border treatment.
Continuing employee role: assumed budget
- Gross salary: €4,000 per month × 3 = €12,000.
- Setup, medical and administration allowance: €300.
- Equipment: €1,000.
- Benefits: €450.
- Coverage and exit reserve: €500.
- Cash subtotal for these assumed items: €14,250.
- Employer contributions: add the amount verified for the actual employment arrangement.
- Payroll or employment-provider fee, where applicable: add the quote.
- Internal onboarding time, separately estimated: 16 hours × €50 = €800.
Salary already includes salary paid during leave within this model; do not add it again as a separate salary expense. The €500 reserve concerns assumed additional coverage or exit costs. Apply the relevant VAT treatment to taxable provider charges and keep recoverable VAT separate. Before approving either budget, resolve the named variables and check whether the reserves cover the promised maintenance or continuity.
Three providers to check after choosing independent delivery
For an independently delivered gem migration, compare these three providers on Romania support, contracts and documents, code rights, fees and client responsibilities. Confirm eligibility for the developer, payer and selected product before signing. The list follows those administrative criteria; it is not a performance ranking.
4dev.com
- Workflow: 4dev.com supports contractors in Romania. For its Contractor Platform, it describes one business-to-business agreement with the client: 4dev.com contracts to the client and engages subcontractors, with verification and task/document records.
- Rights: transfer is optional, selected per task and recorded under its service agreements and task documents. Inspect that chain and define migration acceptance.
- Fee: usage-based service fee; confirm the applicable rate, assessment base and additional charges.
- Boundary: it does not provide employment/payroll. Clients must confirm eligibility, define scope and review rights terms; selecting a transfer does not automatically establish ownership.
Deel
- Workflow: its Romania contractor offering advertises onboarding, localized contracts and tax-document collection. Contractor Management also lists automated invoicing and document collection.
- Rights: review the selected agreement’s contracting parties, code assignment and exclusions; its customizable template includes intellectual-property provisions requiring country-enforceability review.
- Fee: the advertised price is $49 per contractor/month. Confirm billing, add-ons, tax and currency-conversion terms for the Romanian engagement.
- Boundary: ordinary management retains client classification responsibility. The client must assess actual working arrangements, define acceptance and changes, and check the written assignment; localized documents alone do not settle those questions.
Remote
- Workflow: Contractor Management explicitly covers Romania and advertises localized contracts, e-signatures, documents, identity verification and invoice approval. The contract is between client and contractor.
- Rights: inspect code-rights provisions and dependency exclusions in the chosen direct agreement; confirm local-template availability and exceptions.
- Fee: starts at $29 per active contractor/month for billable work; Remote also lists a 3.5% credit-card service fee. Confirm applicable billing and tax conditions.
- Boundary: country support does not establish independence or ownership. The client must assess the working relationship, set migration acceptance criteria and review the direct agreement.
Questions Ruby teams ask before signing
Does a short migration automatically count as contracting?
No. A short deadline and defined output inform the assessment, but Romania’s employment definition concerns work under an employer’s authority for salary. Examine how the developer actually works, including direction and autonomy. Technical acceptance review alone does not determine status.
Can a PFA or SRL label settle the relationship?
No. PFA and SRL describe different forms of economic activity. ANAF’s guidance on natural-person independent activity requires its own assessment; an SRL supplier needs analysis appropriate to the company arrangement. Check the contract and actual practice instead of treating registration as a verdict.
Does paying for a pull request transfer code rights?
Payment alone does not establish an adequate rights agreement. Review the written assignment for contractor software and the permissions for existing components. Employee software has a qualified employer-ownership default when created in performing duties or following instructions, unless a contrary clause applies.
What changes when migration work becomes continuing maintenance?
Review both scope and working arrangements. Separately agreed maintenance deliverables need clear acceptance and change terms. Continuing duties under managerial direction require a fresh relationship assessment. Reassess those changes before simply renewing the invoice schedule.
Can the same contractor platform employ the developer?
A contractor-management service does not establish an employment route. 4dev.com provides contractor operations and does not offer employment/payroll. If the role requires employment, identify the lawful employer and local employment process, and separately verify any proposed provider’s Romanian employment offering before onboarding.
